Baker & McKenzie Advises Amsted Rail on Joint Venture with United Wagon Company

08.10.2013 Moscow, Russia, 4 October 2013 — Baker & McKenzie advised Amsted Rail, the world’s leading manufacturer of undercarriage and end-of-car railcar components, on its joint venture with United Wagon Company (UWC). 

The joint venture will introduce the latest technology in heavy haul railway components into the freight railroading market in Russia, the CIS and certain other countries. Under the deal, UWC will receive intellectual property rights to Amsted Rail’s 18-9836 bogie system specifically designed for railcars operating on 1,520 mm gauge track. 

Baker & McKenzie advised Amsted Rail on all aspects of the transaction. “The transaction was challenging since it had a very tight timeframe and at the same time involved complex legal issues under Russian, Ukrainian, US and English law,” said Margarita Divina, the Moscow partner who co-led the team on the deal.
