Moscow, Russia, 14 March 2012 – Baker & McKenzie advised RUSNANO on an investment agreement with Domain Associates LLC, a US venture capital firm specializing in leading-edge life sciences technologies. The investment agreement provides a framework for a partnership between the parties and contemplates investments of approximately USD 760 million.
Under the agreement RUSNANO and Domain will jointly invest in emerging life sciences technology companies, foster transfer of technology into Russia, and establish manufacturing facilities in Russia for production of advanced therapeutic products for the treatment of medical conditions including viral infections, cardiovascular diseases, cancer, and others.
RUSNANO and Domain’s venture capital funds, together with other co-investors, are expected to invest approximately USD 760 million into portfolio companies and the manufacturing facilities in Russia. The joint venture will manage advanced-stage clinical trials in Russia of new pharmaceuticals and other products and will support regulatory approval of these products in Russia, the United States and other markets.
Baker & McKenzie lawyers drafted and negotiated the investment agreement and other transaction documents and provided advice on various aspects of intellectual property law. The team was led by partners Sergei Voitishkin, Andrei Afanasiev and Gordon Low with key input from partner Margarita Divina, associates Sergey Krokhalev, Ekaterina Sorokina, Konstantin Khromenkov and Ksenia Kolchina.
