AEB ANNUAL GENERAL MEETING 2021

Please allow me to remind you that the Annual General Meeting will take place in hybrid format on the 25 March 2021 starting at 17:30 in Hotel Baltschug Kempinski Moscow, 115035, Moscow, Baltschug str.1.

MAIN TOPIC: ADOPTION OF NEW CHARTER 2021

Key guiding principles. The draft Charter submitted for member approval at the upcoming AGM has been revised under the following considerations and principles:

a) ensure statutory compliance with latest Russian legislation

b) allow maximum flexibility and freedom for AEB activities

c) keep governance culture and traditions embodied in the current charter

New Charter provides stable foundation. The new Charter not only strikes a good balance between the above stated goals, it also incorporates perspectives and feedback by numerous experts and AEB representatives, incl. from the Board and the Council of National Representation and by doing so lays a strong foundation for the future development of the AEB over the next 5-10 years.

For your convenience, please find the slides from our special new Charter information calls that we organized for our members and Committees last year to get a good overview and explanation of the main novelties.

Your vote matters. Against this background, we warmly invite you to take part in the 2021 AGM, to cast your vote, and to help us reach the legally necessary quorum of 50% of all AEB members. To do this, please follow the detailed instruction below:

1. Carefully review the set of documents prepared for the 2021 AGM (see below).

2. Decide whether you plan to represent your company (member of AEB) in person or you want to be represented via power of attorney (PoA) issued to another member of AEB – legal entity, and confirm your online/offline participation in the following way:

a) Online participation and vote by PoA. Fill in the PoA form below, sign/stamp it and send it back to us BOTH by email to agm2021@aebrus.ru and the original by courier/post to AEB office (Moscow, Butyrsky val, 68/70, build.1, office 42) no later than 18:00 on 23 March 2021.

b) Offline participation. You can participate offline and vote at the AGM without a PoA if you are an authorized representative of AEB member company (CEO). Any assigned representative can participate offline too, having provided a PoA (see p.a) in advance.

Link for online participation will be provided on receipt of a dully filled PoA.

Your participation is essential. Please allow me to kindly remind you that your participation in the AGM – either by attending in person or by PoA as well as timely provision of a duly filled PoA is extremely important in order to submit the NEW AEB Charter to the registration by the Ministry of Justice until 31 March 2021.
